C&M Legal Search is Hiring a Senior Corporate Paralegal Near Century, CA
- Minimum 5 years of experience at an AMLAW 100/200 law firm or Fortune 1000 corporate legal department, demonstrating extensive expertise in general corporate transactional support.
- Familiarity with corporate financing transactions, M&A, private equity, and new venture formation; substantial experience in at least one area.
- Excellent communication and interpersonal skills to engage with attorneys, staff, and clients on a daily basis.
- Strong organizational skills and meticulous attention to detail.
- Proficient in Microsoft Office.
- Ability to work independently with minimal supervision and collaboratively within a team under tight deadlines.
- Bachelor's degree from an accredited college or university is required; a graduate degree such as a JD is a plus but not mandatory.
- Prepare and revise legal documents for attorney review, including those related to the formation and dissolution of various corporate entities, ancillary documents for corporate financing and M&A transactions, foreign qualifications, and UCC financing statements.
- Assist in SEC filings, such as Form D filings, Confidential treatment requests, and Registration Statements.
- Compile, analyze, and summarize transaction-related information for attorney review.
- Conduct corporate and securities law research using Westlaw, LexisNexis, and similar online research services.
- Coordinate transaction tasks/projects with attorneys, clients, advisors, and other parties through in-person, telephone, and written correspondence.
- Coordinate and attend closings, manage post-closing tasks/projects, and file/track transaction documents with federal, state, and local authorities as required.
- Regularly communicate with attorneys regarding task/project status, staffing matters, and assignments.
- Maintain punctual attendance in the office and, as needed, work outside normal business hours to accommodate transaction schedules.
- Assist with other projects as assigned by the Paralegal Supervisor or other Firm management.
